Our Services
NED provides technical and tech-related commercial due diligence across the renewable energy transaction lifecycle. Jon Previtali, Principal Consultant and CEO, personally reviews every deliverable. Where scope requires specialized expertise, NED coordinates other qualified third-party advisors if needed — one point of accountability.
NED does not produce Independent Engineer reports. Where an IE is engaged, NED serves as a following IE, owner’s engineer, or bank engineer. We work across solar, storage, wind, fuel cell, and microgrid technologies.

Pre-Transaction
Red Flag Review with Q&A Log
Fast pre-exclusivity screen that surfaces deal-killers before a buyer commits to full diligence. One-week deliverable. Learn more →
Term Sheet & Negotiation Support
Technical input into term sheets, PSAs, and project agreements — drafting reps, warranties, and conditions. Jon Previtali negotiated technical requirements across $10B+ of projects at a major US tax equity bank.
Technology Screening & Equipment Bankability Opinion Memo
Independent opinion on whether a specific piece of equipment (PV module, inverter, battery, fuel cell, transformer or turbine) is financeable. Delivered as a concise opinion memo with a clear bankability opinion and risk mitigation recommendations, e.g. IP in escrow or extra spare parts, if needed.
Transaction Support
Comprehensive technical due diligence alongside commercial and legal counsel, serving as a following IE where a primary IE has been engaged.
Following-IE Technical Due Diligence
Full-scope TDD working behind a primary IE as a double check and to fill possible gaps — document review, equipment, energy production, interconnection, permitting, and financial model review.
Underwriting Support
Translating technical risk into credit memos, investment committee presentations, and underwriting submissions originators, credit officers and investment committees can act on.
Funding Support
Reviewing IE reports, Q/A logs, punch lists, and test reports at financial close to confirm conditions precedent. If needed, creation of post-funding technical obligations behalf of lenders and investors.
Tax Credit Transfer Diligence
Buyer- and insurer-side diligence for IRA transfers — basis, placed-in-service, wage and apprenticeship, domestic content, recapture risk. Per transfer.
Operating Stage
The services above close deals. The services below keep them performing.
Operating Data Review
Review of monthly operating reports, SCADA data, and ground or aerial inspections — identifying underperformance, fault patterns, and warranty and maintenance triggers, with monthly findings, recommendations, and trend alerts. Available as a one-time historical review (up to 5 years of data per asset) or as a monthly subscription with a 12-month minimum.
Performance Guarantee & Loss Decomposition
Forensic analysis of underperformance and recommendation for remediation; applied in a defensible order so contractual liability lands on the right party.
Warranty Claim Support
Owner-side technical case-building for serial defect, performance, and workmanship claims. Most claims fail on documentation, not merit.
Insurance Claim Support
Claimant-side documentation and expert opinion for property and business interruption claims after hail, wind, fire, or major equipment failure.
Asset Sales & Recommissioning
Technical support for project re-valuation, equipment replacement, repowering, return to service, or sale — often bundled into acquisitions where the buyer plans to recommission for better performance or extended life.
Specialty
Owner’s Engineer Services
Technical representation of the owner through development and construction — reviewing EPC contracts, overseeing quality, and reviewing change orders.
Portfolio Risk Review
Aggregated risk opinion across an owner’s or lender’s book, surfacing single-vendor, geographic, and weather concentration risks invisible at the project level.
Natural Catastrophe & Climate Risk
Site-specific hail, wind, wildfire, flood, and climate exposure opinion, calibrated to the equipment actually deployed.
Accelerated Lifetime Testing (ALT) & Factory Audit Support
Specification and oversight of industry standard and curated test programs and factory audits for modules, storage, and balance-of-system components — scoping, lab selection, audit oversight, and integration of findings into bankability and risk assessments.
Cybersecurity & NERC CIP Compliance Review
Review of cybersecurity and NERC CIP compliance audit for SCADA, inverters, and remote access. Jon Previtali is not a NERC compliance auditor — NED brings in qualified third-party experts as needed, guides the review, and integrates findings into the diligence or OE record.
IE Expansion Services
For independent engineering firms looking to expand capacity or capability. Jon Previtali can join deal teams directly, working as part of the IE team and applying AI tools to accelerate the work.
Data Room Gap Analysis
Identifying missing or inconsistent documentation before the formal IE due diligence process begins. Per data room.
Q&A Log Development
Drafting technically precise seller questions, organizing responses, and integrating answers into the diligence record. Per round or per project.
IE Staff Training
TDD best practices for IE teams — methodology, risk categorization based on materiality and commercial context.
Negotiation Support and Contract Language
Reviewing seller responses, advising on remedies based on tried and true mitigation techniques, and drafting contract language that resolves outstanding issues.
TDD Process Establishment
Designing and implementing technical due diligence (TDD) processes — checklists, document request lists, risk frameworks, and reviewer training. Jon Previtali built and scaled this practice at a major US tax equity bank.

Introductions
NED can make informal introductions to lenders, investors, and insurance providers in its network. No finder’s fee, no placement agent role — just a warm handoff when a client would benefit from one.
Referrals and Subcontracting
Where specialized expertise is required, NED coordinates qualified third-party advisors at the client’s preference either as subcontractors or via referrals — transmission consultants, environmental consultants, energy performance engineers, field and factory inspectors, equipment test labs, insurance consultants, and NERC CIP compliance experts.
